Terms of Service

By using www.goenvert.com or engaging Envert LLC for services, you agree to these terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

Scope of work, deliverables, timelines, and fees for each engagement are defined in a separate written proposal or statement of work (SOW). These Terms apply alongside any SOW; the SOW controls in the event of conflict.

Fees are invoiced per the SOW (typically monthly retainer plus media spend pass-through). Past due balances accrue interest at 1.5%/mo or the maximum permitted by law. Disputed amounts must be raised within 15 days of the invoice.

Our Reply within 24 hours applies to qualifying engagements as defined in the SOW. If we have not produced fees-paid breakeven within 6 months (measured by attributed revenue), we continue working at no additional retainer cost until breakeven is reached, capped at an additional 6 months. Media spend, third-party software, and out-of-scope work are excluded.

• Timely access to ad accounts, GBP, website, and analytics.
• Timely responses to drafts, approvals, and lead follow-up.
• Truthful representation of services, licensing, and service areas.
• Lead handling — answering the phone and following up on form fills.

On full payment, you own the deliverables we create specifically for you (ad creative, page content, website code). We retain ownership of our pre-existing tools, frameworks, and any generalized methodology. Anonymized engagement data may be used for case studies and reporting.

Each party will protect the other's confidential information with the same care used for its own. This obligation survives termination of the engagement for 3 years.

We will perform services with commercially reasonable skill and care. Marketing involves third parties (Google, Meta, Bing, etc.) we do not control and we make no guarantee of specific rankings, traffic, or revenue beyond what is expressly stated in the SOW or the ROI guarantee. Except as expressly stated, services are provided "as is" without other warranties.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or relating to the services is capped at the fees you paid us in the 6 months preceding the claim.

Either party may terminate at the end of any monthly cycle with 30 days' written notice. Termination for cause requires 15 days to cure a material breach. Upon termination, you pay for work performed through the termination date.

These Terms are governed by the laws of the state in which Envert LLC is organized, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in that state.

We may update these Terms. Material changes will be posted at this URL. Continued use of the site or services after a change constitutes acceptance.
